(Have been reviewed and passed at the second session of Congress of ISC on August 31st, 2004)

Section 1

Congress is the organ of supreme power of Internet Society of China (ISC for short). It shall be called according to the items stipulated in By-law. Each session of Congress shall be called by the former Board of ISC in two months after approving the delegates' qualification of the current Congress.

Section 2

The term of each Congress shall be three years. In case there is any special occasion to change the duration，it shall be passed by the Board and report to the responsible departments for reviewing and get the approval of the social organization registration agencies. Nevertheless, the duration for one deferment shall not exceed one calendar year. The Congress can only be held with more than two-thirds of delegates' participation and the resolutions can only be put into effect with more than half of the affirmative votes.

Section 3

The former session of Standing Committee shall set up a Work Committee 60 days prior to the date of each session of Congress. The Committee is responsible for directing the work of Board reshuffle.

Section 4

The Board shall notify the members of the date and topics of the Congress 15 days prior to the date of each session. This item is inapplicable to the Congress held with special occasions.

Section 5

Prior to the open of each session of Congress, the delegates' qualification should be examined by the Secretariat of ISC, which shall submit to the Secretary General Committee to be rechecked after the Secretariat.

Section 6

Each session of Congress shall call its preparatory meeting in which shall vote in the presidium and secretary general for the Congress and discuss the agenda and the preliminary work. The meeting is composed of delegates and the former session of Board members and it shall be presided over by the chairman of the last session or vice-chairman with chairman's assignment.

Section 7

The presidium is responsible for recommending the list of executive chairmen who shall preside over the presidium meeting and the Congress.

Section 8

The Congress shall establish its Secretariat directed by the Secretary General.

Section 9

Directors, vice-directors, secretaries or vice-secretaries of various work committees of ISC can attend the Congress as nonvoting delegates if not being Board members or delegates.

Section 10

More than three delegates can commonly submit proposals to the presidium to be decided whether shall be put into the agenda of the Congress. The proposals should be submitted to the presidium or the Secretariat of ISC from 7 days prior to the Congress to 24 hours prior to the beginning of election for the new Board. The process of reviewing the proposals shall be terminated if the proposers require to withdraw the proposals prior to submit to the Congress.

Section 11

The election shall be held and the proposals shall be passed by means of secret ballot, show of hands or other means from which the presidium shall designate one at the Congress.

ArticleⅡ--Board of ISC

Section 12

The Board of ISC shall be elected by the Congress with each office term for three years. The executive body of the Congress is the Board, which is responsible for directing the daily affairs of ISC after closure of the Congress. The Board also is responsible to the Congress directly. The Board is authorized to exercise its authority stipulated in the By-law. The Board shall consist of a chairman, viec-chairman/vice-chairmen, a secretary and Board member(s).

Section 13

The Board of ISC shall be elected with the principles as below:

1. The delegates shall nominate the new Board of ISC at the Congress;

2. The accurate candidates list of Board members shall be decided by the nomination votes and be submitted to preparatory meeting to be rechecked;

3. The delegates shall vote in the new Board of ISC with secret votes at the Congress.

Section 14

The chairmen of Internet society of provinces are Board members of ISC as of right.

Section 15

The candidates of Board members' qualification not only shall be in accordance with By-law, but also be pursuant to the requirements as below:

1. the candidates shall be delegates appointed by organizational members of ISC or be individual members of ISC;

2. concerning to the members' variety in ISC, the organizational members with their candidates' enrolling in the election for the Board members shall have industrial representativeness;

3. the organizational members with their candidates' enrolling in the election for the Board members shall be willing to take on the relevant obligations, for example, paying for the membership fee;

4. the candidates shall have specialty or contribution to Internet industry and be willing to work for ISC.

Section 16

The Board meeting shall be called annually by means of conference, and also can be other form in case of any special occasions. The meeting can only be held with more than two-thirds of Board members' participation and the resolutions can only be put into effect with more than half of the Board members' affirmative votes. The Board shall submit its work report to Congress.

ArticleⅢ-Standing Committee

Section 17

ISC may establish its Standing Committee by voting, which is the executive body of the Board. The Standing Committee shall exercise the authority stipulated in the By-law after the closure of the Board meeting and be responsible to the Board.

Section 18

There shall be one-third of chairmen of Internet Society of provinces who also are the Board members shall fill in the roles of standing Board members in turn each year. The list shall be decided upon the discussion between Standing Committee and Internet Society of provinces.

Section 19

The organizations with their delegates filling in the roles of the standing Board members shall have representativeness concerning to the members' variety in ISC and be willing to take on the relevant obligations.

Section 20

The meeting of Standing Committee shall be held semiannually. The meeting can only be held with more than two-thirds of standing Board members' participation and the resolutions can only be put into effect with more than half of the standing Board members' affirmative votes.

Section 21

The office term of ISC's chairman, vice-chairman and secretary general shall be last three years. The succession for reelection shall not exceed two terms. If there is the need for the reelection shall be adopted by the affirmative votes of more than two-thirds of the members of the Board and submit to responsible departments and get the approval of the social organization registration agencies.

Section 22

The chairman of ISC shall direct the daily affairs of Standing Committee and the Board. And the vice-chairman and secretary general shall assist chairman with his or her work. According to the need of work, the chairman may designate a standing vice-chairman from vice-chairmen to exercise his authority.

Section 23

Chairman, vice-chairman and secretary general shall set up a chairman work meeting dealing with the daily affairs of the Board:

1. to decide the date of each meeting of Standing Committee and draft the agenda;

2. to review the proposals to be submitted to Standing Committee;

3. to direct and coordinate the daily affairs among the work committees;

4. to manage other important work of Standing Committee.

Section 24

The proposals reviewed in the meeting of Standing Committee shall only be put into effect with more than half of the standing Board members' affirmative votes.

ArticleⅣ-Work Committee of ISC

Section 25

The Board may establish special work committee(s) to meet the need of work, which shall be directed by Standing Committee.

Section 26

Each work committee shall be composed of a director, vice-director(s), commissaries, a secretary general and vice-secretary general(s).

The delegates of work committees' director, vice-director and commissary shall be nominated by the Secretary General of ISC, then submitted to chairman meeting and finally be passed by the meeting of work committees. The secretary general, vice-secretary general(s) shall be nominated by the director of work committee and passed by the meeting of work committees.

Section 27

The directors of work committees shall be responsible for directing the work of committees and calling the meeting of committees. The vice-directors shall assist the directors with the work and secretary generals shall deal with the daily affairs of committees with directors' appointment.

Section 28

The Standing Committee shall designate each work committee's basic functions which work committee shall refer to draw out the work plan and submit to Standing Committee to be decided.

ArticleⅤ-Delegates of the Congress

Section 29

The office term of each session of Congress of ISC's delegates shall last three years, from the opening of each session of Congress to the next session's open.

Section 30

The delegates of the Congress shall abide by the national laws and self-discipline agreement for Internet industry. The delegates shall also promote the implementation of the self-discipline agreement in their work and social activities.

Section 31

The delegates shall accept the supervision of the organizational members. The members can change the appointed delegates. And if the delegates are absent at the Congress with special occasions, the members can appoint other ones instead and submit to the Secretariat of ISC.

ArticleⅥ--Supplementary Articles

Section 32

The amendment of this 'Regulation'can only be put into effect with more than half of the delegates' affirmative votes at Congress of ISC.

Section 33

The Standing Committee of ISC reserves the right to interpret this 'Regulation'.

Section 34

This 'Regulation' shall be put into effect after reviewing and passing at the Congress of ISC.
